Our Business attorneys advise companies at all stages, from start-up, early stage, and emerging growth organizations to established public and private companies. We regularly work with entrepreneurs to choose the right entity form for their business, joint venture, and outside investors, and collaborate to structure the entity by preparing formation documents for corporations, limited liability companies (LLCs) and partnerships, including operating agreements, partnership agreements, shareholder agreements and joint venture agreements.

We regularly assist our clients with capital formation by structuring private placements of SAFEs, equity and debt, including angel and venture financing rounds, as well as negotiated growth equity transactions. As outside counsel, we advise boards of directors, executives and managers on their fiduciary duties and on complex corporate and entity governance, voting, reporting, and compliance issues. We also work with advisory boards and individual advisors to early stage companies.

We are frequently consulted by boards of directors to determine the rights of founders, and we often handle issues relating to partner, member, shareholder, and ownership disputes. We assist our clients with corporate successorship and planning matters, and when a company is dissolving, we help to assure an orderly wind-up of its business.
