Acquisitions and Debt and Equity Financing

  • Represent an institutional operator of a $6-billion-dollar-plus portfolio of multi-family properties in the San Francisco Bay Area, Southern California, and Washington state in all acquisitions, dispositions, financings, joint ventures, co-GP arrangements, syndications, and other equity fundraising.
  • Represent an institutional operator in all acquisitions, financings, and dispositions of industrial properties in California and Washington state.
  • Represent an institutional developer and operator in all acquisitions, dispositions, financings, joint ventures, co-GP arangements, syndications, and other equity fundraising for multiple large complex multifamily and mixed-use developments in Los Angeles and Santa Barbara County.
  • Represent an institutional developer and operator in all acquisitions, dispositions, financings, joint ventures, co-GP arrangements, syndications, and other equity fundraising for multiple large ground-up developments in the cities of Oakland and San Francisco, including the second-largest cross-laminated mass timber construction project in the United States.
  • Represented a development company in the sale of a portion of a large tract of land in San Jose, California to a national development company, the sale of which included the negotiation of multiple reciprocal development agreements regarding the future development of such tract.
  • Represented a development company in the acquisition and leaseback of a large national flag hotel in Oakland, California.
  • Represented an operator in the financing of a large shopping center in the East Bay area.
  • Represented a major real estate opportunity fund in the negotiation of a joint venture agreement to acquire land for residential development in Nevada.
  • Represented a national property manager in the negotiation of a joint venture agreement and management agreement to acquire multiple multi-family apartment complexes throughout California.

Construction and Development

  • Represent multiple institutional operators and developers in the negotiation of construction, architect, and other consultant contracts for ground-up construction and major renovations, alterations, and restorations.

Leasing

  • Represent a publicly traded international retailer on the majority of its retail leasing matters nationwide.
  • Represent an industrial operator in all of its leasing matters in California and Washington state.
  • Represented a technology company as a tenant in the lease of office space in office complexes in Colorado, Virginia, and California.
  • Represented a major retail financial institution as a tenant in its negotiation of a lease for retail space in Florida and California.
  • Represented a major real estate opportunity fund in the amendment of a ground lease for an airplane hangar in Washington state and the contemporaneous sublease of such space to a major American airplane manufacturer.
  • Represented a development company in the lease of a hotel in Oakland, California.

Alexander J. Pugh is a partner in Lubin Olson’s Real Estate, Business, Finance & Workouts, and Construction service groups. Mr. Pugh was the chair of Lubin Olson’s transactional service group from 2016-2021.

Mr. Pugh represents clients in a wide range of real estate and business transactions, including debt and equity financing, real estate acquisitions and sales, real estate construction and development, commercial and industrial leasing and ground leases, workouts, mortgage loan transactions, UCC and mortgage foreclosures, and property and transfer tax restructuring matters. He represents private equity funds, corporate and individual developers, and owners of office, multi-family, retail, hotel, industrial, recreational, and high-end real estate, mortgage and mezzanine lenders, and other public and privately-held companies investing in or using real estate.  

Mr. Pugh is a member of the board of HealthRIGHT360, the largest mental health and substance abuse non-profit in California.

Mr. Pugh was honored by Thomson Reuters as a Super Lawyer “Rising Star” in 2016 and 2017 and as a Super Lawyer in 2023 and 2024.

Before joining Lubin Olson, Mr. Pugh practiced in the Real Estate and Finance Group at Gibson, Dunn & Crutcher LLP in San Francisco. Mr. Pugh lives with his wife, son, and daughter in San Francisco.
