Randy McCalla is a senior counsel in Lubin Olson’s Business service group. Clients describe Mr. McCalla as providing business-oriented legal counsel with a practical entrepreneurial slant. As general business counsel, Mr. McCalla has often helped to shape clients’ business models and to confirm founder relationships and vesting models. Mr. McCalla has deep expertise in purchase and sale of businesses, corporate formation, real estate development agreements, LLCs, venture capital, fundraising, loans, stock options, dissolution, intellectual property transactions, and dispute resolution. He is an expert in negotiating business asset sales, assisting founders retiring and selling their businesses and structuring business combinations. He is also frequently consulted in determining the rights of founders being terminated from early-stage companies and advising board members on personal liability. 

Mr. McCalla received his juris doctorate in 1995 from the University of California, Davis, King Hall School of Law, where he served as an editor of the Law Review. He received his B.A. from the University of California, Berkeley in the field of classical languages.  

Mr. McCalla participated in the Children’s Musical Theater of San Jose as a corporate director.  He is an avid cyclist and was part of the road and track cycling Olympic Development Program in Colorado Springs, CO. 

He comes to Lubin Olson & Niewiadomski after 14 years as founder/shareholder of his corporate firm, McCalla Burriss, Inc. in Silicon Valley. Previously Mr. McCalla served as corporate counsel to public and private emerging growth companies during an extended engagement at Morrison & Foerster LLP in Palo Alto, California.
