Audrey I. Baker is of counsel in Lubin Olson’s Business Group. She specializes in representing start-up and established corporations, limited liability companies, partnerships, and individuals (in their capacities as shareholders, directors, members, partners, or executives). She is adept at a wide range of business and securities transactions, ranging from joint ventures and strategic alliances to entity formations, investments, commercial and business agreements, mergers, acquisitions, spin-offs, dispositions, executive transitions, and partner or member dispute resolution or dissociation.

Ms. Baker has extensive experience in representing buyers and sellers in merger and acquisition transactions in varied industries and business sectors, including tech, real estate, public relations, food and beverage, retail, professional (medical) practices, financial services, and construction, among others. Ms. Baker regularly represents issuers and investors in private placements of equity and debt. 

Serving as outside counsel, Ms. Baker advises on corporate governance, equity incentives, executive employment and compensation, consulting arrangements, non-competition restrictions, confidentiality agreements, license agreements, protection of soft intellectual property, joint ventures and other strategic alliances, partnership agreements, operating agreements, nondisclosure agreements and complex commercial transactions, and business and ownership disputes of all kinds.

Before joining Lubin Olson, Ms. Baker practiced with Lillick & Charles LLP (now Nixon Peabody LLP) and Thelen Reid & Priest LLP in San Francisco.
